Setz Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Setz mobile application and related services (collectively, the “Service”) operated by Not Null, LLC (“Setz,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1) Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with permission of a parent or legal guardian who agrees to these Terms.

2) The Service

Setz provides tools to create, organize, and manage setlists and related content. We may change, update, or discontinue any part of the Service at any time.

3) Accounts

You may need an account to use certain features.

You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You agree to provide accurate information and keep it up to date.

We may suspend or terminate your account if we believe you have violated these Terms or used the Service in a way that could create risk or legal exposure for Setz or others.

4) User Content

“User Content” means any content you create, upload, input, or store in the Service (for example: setlists, notes, metadata, titles, or other text).

You own your User Content

As between you and Setz, you retain ownership of your User Content.

License to operate the Service

You grant Setz a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process your User Content only to operate and provide the Service (for example, to save your setlists, sync them across devices, and display them in the app).

Responsibility for User Content

You are responsible for your User Content and represent that:

you have the rights to submit it; and
it does not violate these Terms or applicable law.

5) Acceptable Use

You agree not to:

use the Service for illegal activities;
attempt to access accounts or data that are not yours;
interfere with or disrupt the Service (including hacking, scraping, or introducing malware);
reverse engineer, decompile, or attempt to extract source code (except where prohibited by law);
abuse or exploit the Service in a way that harms Setz or other users.

6) Subscriptions and Billing (Apple App Store)

Setz offers paid subscriptions. Current plans include $2.99/month or $29.99/year (16% savings) (pricing may vary by region and taxes may apply).

Apple billing: Purchases are processed by Apple and billed to your Apple ID at confirmation of purchase. Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current billing period.

Manage/cancel: You can manage or cancel your subscription in your Apple ID / App Store account settings.

Price changes: Apple or Setz may adjust pricing from time to time. If pricing changes, you will have the opportunity to review before renewal where required.

Refunds: Refund requests are handled by Apple in accordance with Apple’s policies, unless required by law.

7) Intellectual Property

The Service, including its design, branding, logos, and software, is owned by Setz or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service unless we give you written permission.

8) Feedback

If you submit feedback or suggestions, you grant us the right to use them without restriction or compensation.

9) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SETZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the Service will be uninterrupted, secure, or error-free.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SETZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT WILL SETZ’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SETZ FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $50, WHICHEVER IS GREATER, UNLESS REQUIRED BY LAW.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11) Indemnification

You agree to indemnify and hold harmless Setz and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12) Termination

You may stop using the Service at any time. We may suspend or terminate access to the Service at any time if we reasonably believe:

you violated these Terms;
your use poses a security risk; or
we are required to do so by law.

Termination does not affect any accrued rights or obligations.

13) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice as required by law (for example, in-app or by updating the effective date). Your continued use of the Service after changes means you accept the updated Terms.

14) Governing Law

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles.
